1. PROMOTION DESCRIPTION.  The SoulCycle “SOULS REUNITED” Promotion (“Promotion”) is conducted by SoulCycle, LLC (“SoulCycle”) 609 Greenwich Street New York, NY 10014.  The Promotion is scheduled to begin on or about July 27, 2022 at approximately 12:01 a.m. Eastern Time (“ET”) and ends the earlier of (i) when One Hundred (100) participants have redeemed the offer; or (ii) on August 3, 2022 at 11:59 p.m. ET (the “Promotion Period”).  By participating in the Promotion, each participant agrees to be bound by these terms and conditions (“Terms”).  This Promotion is not sponsored, endorsed by, or otherwise affiliated with Peloton Interactive, Inc. or its parent companies.  The Peloton trademark is owned by Peloton Interactive, Inc.  All inquiries about the Promotion should be directed to SoulCycle and not Peloton.

1. ELIGIBILITY.  The Promotion is open to: 

1. legal residents of the United States and the District of Columbia who are eighteen (18) years old or older; 

1. who live within 20 miles of a SoulCycle studio in the United States.

1. who have (i) never taken a SoulCycle class, but have a SoulCycle account; or (ii) have not taken an in-studio SoulCycle class since March 16, 2020; and 

1. own a Peloton® Bike or Peloton® Bike+ (each, an “Eligible Bike”) at the time of participation that is located in an Eligible Market ([a]-[d] are collectively referred to herein as the “Eligibility Criteria”).

For clarity purposes, a bike is an Eligible Bike only if the participant owns the bike and has no outstanding payments for the bike. A Peloton Bike or Peloton® Bike+ not an Eligible Bike if: (i) the participant used financing to purchase the bike and has any outstanding balance with the applicable financing account; (ii) the participant owns the bike as part of a monthly subscription arrangement under which the participant pays for the bike in installments (whether on a weekly, monthly, or other frequency); or (iii) any other scenario in which the participant does not hold full marketable title to the bike, such that a third party holds an interest in or to the bike.  SoulCycle reserves the right to request verification of each participant’s ownership of their Eligible Bike.  If SoulCycle requests documentation to verify a participant’s ownership of an Eligible Bike, the participant agrees to provide such documentation upon request.  In the event a participant cannot provide documentation that are satisfactory to SoulCycle to verify the participant’s ownership of an Eligible Bike, in its sole and absolute discretion, SoulCycle reserves the right to disqualify the applicable participant from redeeming the offer.  

A free SoulCycle account is required to participate (“Account”).  New riders can create a free SoulCycle account at https://www.soul-cycle.com/signup/.  By creating a SoulCycle account, participants are subject to the SoulCycle Terms and Conditions and Privacy Policy, available at: https://www.soul-cycle.com/legal/terms-and-conditions/ and https://www.soul-cycle.com/legal/privacy-policy/.  

1. PROMOTION OFFER. During the Promotion Period, up to One Hundred (100) participants who meet the Eligibility Criteria have the opportunity to exchange an Eligible Bike for a 47 SoulCycle Class Series (the “Series”). To claim the offer, participants who meet the Eligibility Criteria must access the website  https://www.soul-cycle.com/soulconnected/souls-reunited/(the “Website”) and follow the instructions to complete the information requested.  If a participant meets the Eligibility Criteria and is one of the first One Hundred (100) participants to respond, a SoulCycle representative will contact the participant using the contact information provided through the Website to verify that the participant meets the Eligibility Criteria and to schedule a time to pick up the participant’s Eligible Bike at a location within an Eligible Market (the “Collection Date”), subject to the “Cancellation Policy” (defined below).  Claiming this offer requires that each participant transfer ownership of the Eligible Bike to SoulCycle.  Once the offer has been claimed, the Eligible Bike becomes the property of SoulCycle and it will not be returned to any participant.  The Series will be added to each participant’s Account within approximately one (1) week after SoulCycle has collected the Eligible Bike from each participant. Series, and each participant’s use of the Series, are subject to SoulCycle Series terms and conditions available at:  https://www.soul-cycle.com/soulconnected/souls-reunited/ Series are non-assignable and non-transferrable. All details and other restrictions of the Series not specified in these Terms will be determined by SoulCycle in its sole discretion.  Limit: one (1) Series per eligible participant.  If a participant receives a Series in this Promotion, the same participant is not eligible to claim additional Series during the Promotion Period. 

1. CANCELLATION POLICY:  Once a Collection Date is scheduled, it is subject to the terms and conditions of this Section 4, which are referred to herein as the “Cancellation Policy”.  A Collection Date can be canceled or rescheduled at any time, but doing so may incur a cancellation fee.  By accepting the offer, each participant agrees to be bound by this Cancellation Policy and authorizes SoulCycle to charge the card the participant has on file with SoulCycle the amount of the corresponding cancellation fee, if any.  To cancel or reschedule a Collection Date without incurring a cancellation fee, cancel or reschedule your Collection Date at least two (2) days before the Collection Date.  If you cancel or reschedule your Collection Date on the day before the scheduled Collection Date, you will be charged a cancellation fee of $15.00.  If you cancel or reschedule your Collection Date on the date of your scheduled Collection Date, you will be charged a cancellation fee of $50.00.  To cancel or reschedule your Collection Date, contact SoulCycle’s collection vendor Load Up at the contact information provided to you during the verification process.

1. VERIFICATION.  Each participant who claims the offer may be required to sign an affidavit of eligibility and a liability release (collectively, “Verification Documents”).  If any participant fails or refuses to sign and return the Verification Documents within the timeline requested by SoulCycle, or if SoulCycle is unable to verify that the participant meets the Eligibility Criteria, as determined by SoulCycle in its sole and absolute discretion, the participant may be disqualified.  If a dispute as to the identity of the individual who actually enters the Promotion cannot be resolved to SoulCycle’s satisfaction, the affected participant’s submission may be disqualified.  

1. ENFORCEMENT AND MODIFICATION.  SoulCycle reserves the right to implement policies and procedures as may be necessary to enforce compliance with these Terms.   SoulCycle reserves the right to modify, extend, suspend, or terminate the Promotion if it determines, in its sole discretion, that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond SoulCycle’s reasonable control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, and/or feasibility of the Promotion as contemplated herein.

1. GENERAL LIABILITY RELEASE.  Participants (and any minor participant’s parent or legal guardian) agree that SoulCycle (A) shall not be responsible or liable for, and is hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Promotion or any Promotion-related activity, or from a participant’s acceptance, receipt, possession and/or use or misuse of any Series, and (B) has not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any Series.  SoulCycle assumes no responsibility for any damage to a participant’s, or any other person’s, computer or mobile device which is occasioned by accessing the Website to try to obtain a Code or otherwise participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature.  

SoulCycle assumes no responsibility for any malfunctions, errors or failures that are human or technical in nature. Without limiting the generality of the foregoing, SoulCycle is not responsible for miscommunications, or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. SoulCycle reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the redemption process or the operation of the Promotion, to be acting in violation of these Terms, including but not limited to existing riders who create new Accounts to circumvent the Eligibility Criteria, or to be acting in a disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person.

1. ARBITRATION PROVISION: ARBITRATION PROVISION:  By participating in this Promotion, each participant (and any minor participant’s parent or legal guardian) agrees: (i) that any and all disputes the participant may have with, or claims participant may have against, SoulCycle relating to, arising out of or connected in any way with (a) the Promotion, (b) the awarding or redemption of any Series, and/or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in New York, New York; (iv) the arbitrator’s decision shall be controlled by the terms and conditions of these Terms and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Promotion; (v) the arbitrator shall apply New York law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only participant’s and/or SoulCycle’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the participant or SoulCycle; (viii) if the participant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, SoulCycle will pay as much of participant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) with the exception of subpart (vi) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein.  If, however, subpart (vi) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither participant nor SoulCycle shall be entitled to arbitrate their dispute.  For more information on JAMS and/or the rules of JAMS, visit their website at www.jamsadr.com.
