SOUL SURPRISE PRESENTED BY FITBIT PROMOTION OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE CHANCES OF WINNING. 

1. PRELIMINARY INFORMATION: By entering the Promotion, you accept and agree to be bound by these official rules (“Official Rules”). The Soul Surprise Presented by Fitbit Promotion (the “Promotion”) is sponsored by SoulCycle LLC, located at 609 Greenwich Street, New York, NY 10014 (“SoulCycle”). This Promotion consists of up to fifty-nine (59) independent drawings (each a “Drawing” and collectively the “Drawings”) and at the end of each “Entry Class Period” (as defined below), a random drawing will be conducted to select one (1) winner of a prize from among all eligible entries received, as set forth more fully below. This Promotion is subject to all applicable federal, state, municipal, and local laws and regulations; void where prohibited by law.

2. ELIGIBILITY: The Promotion is open only to legal residents of the 50 United States and the District of Columbia who are at least 18 years of age as of the date they enter (each, an “Entrant”). Employees, independent contractors, officers, and directors of SoulCycle and its affiliates and subsidiaries and their immediate family members (spouse/domestic partner, parents, children, siblings and their respective spouses) and those living in the same household of each (whether legally related or not) are not eligible to enter or win. In addition, employees, independent contractors, officers and directors Google, LLC (the “Promotion Partner”), or any of their respective affiliates, and their immediate family members (spouse/domestic partner, parents, children, siblings and their respective spouses) and those living in the same household of each (whether legally related or not) are not eligible to enter or win. Individuals who are not in good standing with SoulCycle (e.g., due to past-due balances) or are not permitted to enter or ride at SoulCycle studios will not be eligible to enter or win. 

3. HOW TO ENTER: There are two ways to enter the Promotion: 
   Class Entry Method: Between the date of the announcement of the Promotion (expected to be January 16, 2024) and February 4, 2024 (the “Promotion Period”), a series of up to fifty-nine (59) Drawings is scheduled to take place. During the Promotion Period, each SoulCycle studio in the United States (each, a “Studio”) will host its own “Entry Class” (as defined below) and Drawing. In order to enter and participate in the Drawing for a particular Studio, eligible Entrants must book the class listed on that Studio’s schedule as a “Soul Surprise Presented by Fitbit” class (each an “Entry Class”) and attend and complete the Entry Class they booked. Individuals who book but do not attend the Entry Class, or who arrive late to the Entry Class (determined as 4 minutes prior to the scheduled start time) are not eligible to enter and win a Prize for that Entry Class.  One (1) Entry Class per participating Studio. Entry Classes are expected to occur on and between January 29, 2024 and February 4, 2024, but SoulCycle reserves the right to adjust Entry Class Studios, dates, times and instructors in its sole discretion, and any such changes will be effective upon posting to the SoulCycle schedule. The Drawing entry period for each Studio and Entry Class (the “Entry Class Period”) begins when the applicable Entry Class is posted to the SoulCycle schedule  and ends four (4) minutes before the scheduled start time for that Entry Class. All determinations as to time shall be made by each Studio in its sole discretion. Entry Classes must be booked through SoulCycle’s standard booking methods, including through SoulCycle’s website and mobile app; data rates may apply. Booking and/or attending any class other than an Entry Class is not an entry.  
   
   PARTICIPATION IS LIMITED BASED ON CLASS SCHEDULE AND BIKE AVAILABILITY.  SOULCYCLE’S STANDARD RULES FOR BOOKING, WAITLISTS, CANCELLATIONS, LATE CHECK-INS (INCLUDING REASSIGNING BIKES 4 MINUTES BEFORE CLASS STARTS), AND PARTICIPATION IN CLASSES APPLY.  ALL ENTRANTS MUST COMPLY WITH ALL STANDARD SOULCYCLE RULES, TERMS, CONDITIONS AND REQUIREMENTS, INCLUDING BY COMPLETING ANY RIDER WAIVERS OR RELEASES. 
   
   SOULCYCLE ENCOURAGES YOU TO CONSULT YOUR PHYSICIAN PRIOR TO BEGINNING OR INTENSIFYING ANY EXERCISE PROGRAM, AND TO SEE THEM ON A REGULAR BASIS.  IF YOU EXPERIENCE ANY PAIN OR DIFFICULTY WITH ANY PART OF YOUR PARTICIPATION IN AN ENTRY CLASS, STOP AND CONSULT YOUR PHYSICIAN RIGHT AWAY.  
   
   Alternate Method of Entry (“AMOE”): Eligible Entrants may alternatively enter the Drawing for an Entry Class by visiting the Studio hosting that Entry Class on the day the Entry Class is scheduled to occur and completing and returning to the Studio’s front desk a Drawing entry form. AMOE entry forms received after the applicable Entry Class Period are void and disqualified. 
   
   Eligible Entrants are limited to one (1) entry per Entry Class, regardless of method of entry, and are only eligible to win one (1) Prize Promotion-wide. Entrants who have already won a Prize and participate in a subsequent Entry Class are not eligible to enter or win a Prize for that subsequent Entry Class. 

4. DETERMINING WINNERS: At the end of each Class Entry Period, a Drawing will be held. For each Drawing, one (1) potential winner will be randomly selected in the drawing from all eligible entries received throughout the Class Entry Period for each Studio. Eligible Entrants will only be entered into the drawing for the Studio at which they book and complete their Entry Class or complete the AMOE. In order to determine the potential winner for each Studio, that Studio will a conduct random drawing of all eligible entries received for its Entry Class. Each random drawing will be conducted by the Studio during the Entry Class, but may be postponed in the Studio’s or SoulCycle’s sole discretion. Each Studio’s and SoulCycle’s decisions on all matters relating to drawings and winners are final and binding. Odds of winning depend on the total number of eligible entries received.

5. ANNOUNCING WINNERS: Each Studio will announce the potential winner for its Entry Class at the end of that Entry Class, but may postpone announcement in its sole discretion.  Potential winners must be present at the end of the Entry Class and go to the Studio front desk to sign a Winner Acknowledgment form (together with any other documents required by SoulCycle, the “Winner Documentation”) and to claim their Prize, unless the potential winner entered using the AMOE. Potential winners who leave the Studio without completing the Winner Documentation or claiming their Prize will be deemed to have forfeited their Prize, unless the potential winner entered using the AMOE. If a potential winner entered through the AMOE, SoulCycle will notify them by email, to the address listed on their AMOE entry form, and the potential winner must reply to the email and complete any required Winner Documentation within twelve (12) hours after SoulCycle’s email in order to claim their Prize.  If a potential winner does not complete any of the foregoing requirements or is otherwise deemed ineligible, or if SoulCycle is unable to communicate with a potential winner, SoulCycle may, in its sole discretion, disqualify the potential winner without further notice and either forfeit the Prize or select an alternate winner in accordance with Section 4.  All results are unofficial until SoulCycle’s acceptance of all potential winners’ claim of their Prize and completion of required Winner Documentation (once accepted, the “Winner”). Entrants that do not win will not be notified.  

6. PROMOTION PRIZES: The Winner for each Studio's Entry Class will each be eligible to receive one (1) Fitbit Charge 6 device (the “Prize””). The approximate retail value (“ARV”) for each Prize and each Drawing is $159.95. ARV is listed in U.S. Dollars as of date of printing of these Official Rules. The difference in value of Prize as stated herein and value at time the Prize is claimed, if any, will not be awarded. Prizes will be given to each Winner upon completion of Winner Documentation. If a Winner entered through the AMOE, they must come to the Studio at which they entered to pick up their Prize no later than forty-eight (48) hours after their Prize is claimed in accordance with Section 5; failure to do so will result in forfeiture of the Prize.  Prizes are awarded “as is” with no warranty or guaranty, either express or implied by SoulCycle or the Promotion Partner. Prizes are non-transferable, non-descendible, have no cash value or equivalent, and may not be resold. All taxes and other assessments resulting from accepting a Prize, regardless of whether it, in whole or in part, is used, are the sole responsibility of the Winner and Winner may be subject to withholding tax.  Prizes will not be provided until SoulCycle has received all required Winner Documentation. In no event will SoulCycle be obligated to award more than the stated number of Prizes per Entry Class or Promotion-wide. SoulCycle reserves the right to substitute any Prize with a different item of equal or greater approximate retail value. Unclaimed Prizes will not be awarded. A Prize may not be awarded if, among other things, a Winner does not meet the eligibility requirements or the Prize is not properly claimed. Any and all costs associated with the receipt of and/or use of the Prize are not included and are the sole responsibility of each Winner. 

7. PRIVACY: By entering the Promotion, each Entrant agrees to be bound by SoulCycle’s Privacy Policy, available at https://www.soul-cycle.com/legal/privacy-policy/. By entering the Promotion, each Entrant grants SoulCycle permission to include Entrant’s full name, likeness (including any photos or videos taken at or during their Entry Class) and the Entry Class for which they were a Winner on SoulCycle’s website, mobile app, social media accounts or other marketing materials and channels and/or otherwise in a publicly-available winners list or announcement.

8. GENERAL RULES: By entering the Promotion, Entrant accepts and agrees to these Official Rules and the decisions of SoulCycle, which shall be final and binding in all matters, and Entrant represents to SoulCycle that it is eligible to participate in the Promotion and that all information it provides is and will be accurate. Proof of submission is not proof of receipt of entry. SoulCycle is not responsible for (1) incomplete, lost, late, damaged, illegible or misdirected entries, notifications or other communications (including without limitation as a result of any e-mail filtering by an Entrant’s ISP, or e-mail provider, insufficient space in a user’s email account or errors or losses of any postal or delivery service); (2) technical problems (including without limitation malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof); (3) fraud; (4) typographical or other error in the printing or display of the Promotion, including the Official Rules or Prize descriptions, administration of the Promotion or any announcement of the Winners; or (5) any factor beyond SoulCycle’s reasonable control that may impair the integrity, security, fairness, or proper functioning or administration of the Promotion. As a result of any of the foregoing errors, failures or factors or for any other reason (including without limitation an unanticipated occurrence not fully addressed in these Official Rules) SoulCycle reserves the right to cancel, modify, terminate or suspend the Promotion (or any part or Entry Class Period thereof), or modify these Official Rules, in any manner deemed reasonable by SoulCycle in its sole discretion. Notice of any cancellation, modification, suspension or termination will be posted on the SoulCycle website. In the event of any cancellation, modification, suspension, or termination SoulCycle reserves the right (but not the obligation) to select potential winners, in accordance with Section 4, from the eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, suspension or termination. 
   
   ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE, TAMPER WITH OR UNDERMINE THE OPERATION OF THE PROMOTION, INCLUDING BY MANIPULATING ENTRIES OR ATTEMPTING TO OBTAIN ADDITIONAL ENTRIES, WHETHER THROUGH ROBOTIC, AUTOMATED OR OTHER MEANS, IS A VIOLATION OF CRIMINAL AND CIVIL LAW, AND SOULCYCLE RESERVES THE RIGHT TO DISQUALIFY, AND SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW FROM, ANY ENTRANT WHO ENGAGES IN SUCH AN ATTEMPT. ANY ENTRANT THAT PROVIDES INCOMPLETE OR INACCURATE DETAILS, IS INELIGIBLE TO ENTER, DOES NOT FOLLOW ALL POLICIES OF SOULCYCLE, OR VIOLATES OR ACTS IN VIOLATION OF THESE OFFICIAL RULES WILL BE DISQUALIFIED.

9. RELEASE OF LIABILITY – IMPORTANT – PLEASE READ. By entering the Promotion, each Entrant hereby agrees (and agrees to confirm in writing), on behalf of himself/herself and his/her heirs and assigns, to the fullest extent permitted by law, to (1) release, discharge and hold harmless SoulCycle, the Promotion Partner, and its and their respective affiliates and subsidiaries, and each of their respective officers, directors, employees and independent contractors (collectively, “Released Parties”) from and against any and all liability (including damages caused or claimed to be caused), loss, injury, illness, death, or litigation arising out of the Promotion, participation in the Promotion, and/or acceptance, possession, use or misuse of the Prize; and (2) indemnify the Released Parties from any and all liability arising out of the Promotion. Each Entrant hereby acknowledges that, to the fullest extent permitted by law, the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prize, including express warranties provided exclusively by prize suppliers that may be sent along with the Prize. Entrants assume all liability for any injury or damage caused, or claimed to be caused, by the Promotion, participation in the Promotion and/or acceptance, possession, use or misuse of the Prize. Entrant further agrees (x) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (y) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs; (z) Entrant's remedies are limited to a claim for money damages (if any) and Entrant irrevocably waives any right to seek injunctive or equitable relief. Some jurisdictions do not allow the limitations or exclusion of liability, so the above may not apply to every Entrant. The Promotion, the Official Rules, and any claims or disputes arising hereunder, will be governed by and construed in accordance with the laws of the State of New York, without reference to its conflicts of laws principles. Entrant expressly agrees to submit to the exclusive jurisdiction and venue of the competent federal, state and local courts located in New York County, New York. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. SoulCycle’s name, designs, logos and slogans are trademarks or service marks and exclusive property of SoulCycle. The names, trademarks and logos of the Promotion Partner are the exclusive property of the Promotion Partner or its licensors. Copying or unauthorized use of any copyrighted material or trademarks without the express written consent of SoulCycle is strictly prohibited. 

10. ARBITRATION PROVISION – IMPORTANT – PLEASE READ: By participating in this Promotion, each Entrant agrees: (i) that any and all disputes Entrant may have with, or claims Entrant may have against, the Released Parties relating to, arising out of or connected in any way with (a) the Promotion, (b) the awarding or redemption of any Prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in New York, New York; (iv) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable Entrant may have entered into in connection with the Promotion; (v) the arbitrator shall apply New York law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only Entrant’s and/or SoulCycle’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the Entrant or SoulCycle; (viii) if the Entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, SoulCycle will pay as much of Entrant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) with the exception of subpart (vi) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein.  If, however, subpart (vi) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither Entrant nor SoulCycle shall be entitled to arbitrate their dispute.  For more information on JAMS and/or the rules of JAMS, visit their website at www.jamsadr.com.

WINNERS LIST: To receive the name of the Winners, send an email to yoursoulmatters@soul-cycle.com with the subject line: “Soul Surprise Presented by Fitbit Promotion Winners List” or send a self-addressed stamped envelope to SoulCycle LLC, 609 Greenwich Street, New York, New York 10014, Attn: Soul Surprise Presented by Fitbit Promotion Winners List. Requests must be received by April 4, 2024 11:59:59 PM ET. Information will not be provided until after all Entry Class Periods end and all Winners have been verified.
